Special meeting of Directors J. Robert Wiss, Norman F. Wiss, Jerome B. Wiss.

It was moved and seconded that Norman F. Wiss is hereby authorized to enter
into a contract with Alliance Manufacturing Company of Alliance, Ohio,
concerning licensing and manufacturing grass shears.
