Dec 12/16  Special meeting of the Board of Director
           held December 12th, 1916 at 3 P.M.

           On motion of J. Robert Wiss duly seconded by F.C.J. Wiss,
           a dividend of Ten percent (10%) was 
           declared on the common stock payable at 
           once out of the surplus of the company.

           A motion to adjourn was carried.
