Jan 28/04  At the meeting of the Board of Director directly after close of
           stockholder meeting - the following offer were elected, - President
           F.C.J. Wiss, Secretary - L.T. Wiss, Treasurer - F.C.J. Wiss.
           On motion the meeting was adjourned.
