Jan 23/02  Meeting of the Board of Directors, held after close of adjourn
           meeting. President - F.b.j. Wiss and Louis T. Wiss a majority
           of the director elected this day. The following were elected
           President - Frederick C.J. Wiss, Secretary - Louis T. Wiss,
           Treasurer - Frederick C.J. Wiss. On motion the meeting
           then adjourned.
